SCOPE OF SUPPORT

Law as part of the business process

Structures and Company Formation

We design legal structures in Poland and abroad with growth, scaling, and the next stages of the project in mind. Examples of our support:

  • preparing a shareholders’ agreement or articles of association, including exit and financing rules,
  • designing the shareholding structure and links between companies,
  • structuring management responsibilities and decision-making rules,
  • preparing the company for an investor or international expansion.

Technology companies, fintech, and crypto

We advise projects operating in dynamic and regulated sectors, including fintech and crypto, combining law with market realities. Examples of our support:

  • preparing the legal structure of a fintech or crypto project,
  • analysing the regulatory approach and compliance requirements,
  • preparing corporate and operational project documentation,
  • supporting discussions with investors and technology partners,
  • coordinating projects carried out across multiple jurisdictions,
  • obtaining licences for national or regional operations.

Transactions and Reorganisations

We support entrepreneurs in mergers, structural changes, and projects involving significant strategic decisions. Examples of our support:

  • planning a merger of companies or a group reorganisation,
  • preparing corporate and transaction documents,
  • supporting management boards in decisions requiring resolutions and shareholder approvals,
  • carrying out the reorganisation without interrupting ongoing operations.

High-Value Contracts

We negotiate and secure agreements where risk, liability, and business continuity are key. Examples of our support:

  • reviewing and negotiating key agreements, including construction, technology, and commercial contracts,
  • structuring liability clauses, contractual penalties, and change mechanisms,
  • protecting the client’s interests during contract performance,
  • adapting the agreement to the realities of the project and industry,
  • supporting renegotiations during the term of the contract.

COOPERATION MODEL

Partnership-based legal advisory for business

How we work:

  • we analyse the project from both a business and legal perspective
  • we present possible scenarios and risks,
  • we guide the process from decision to implementation,
  • we design solutions that also work at the next stages of growth.

The result of our cooperation is a structured legal decision, ready for implementation and resilient through the next stages of business growth

Talk to us

How long does the first strategic consultation take and what is its purpose?

The first consultation usually takes 45 to 60 minutes, depending on the complexity of the project. Its purpose is to structure the business decision the client is facing. During the conversation:

  • we analyse the business context and the purpose of the project,
  • we identify key legal and regulatory risks,
  • we discuss possible courses of action,
  • we indicate the recommended direction for next steps.

For many clients, the consultation becomes a reference point for further decisions, regardless of whether the project continues with us or under another model.

What should be prepared before the first conversation to move quickly to specifics?

A few key pieces of information are enough, without formal presentations or complete documentation. Most often, the following is sufficient:

  • a short description of the project or problem,
  • information about the company structure, if it already exists,
  • the planned direction of development, such as an investor, expansion, or a new product,
  • documents that serve as the starting point, such as a draft agreement or group structure.

If anything is missing, we complete it during the conversation. The consultation is meant to lead to a decision, not to paperwork collection.

What does cooperation look like in practice – who handles the matter and how do we communicate?

Each project has one responsible person who leads the matter and serves as the main point of contact. Communication is tailored to the dynamics of the project and the client’s preferences. Most often, it includes:

  • ongoing phone or online conversations,
  • email summaries with recommendations and next steps,
  • clear arrangements regarding deadlines and the scope of work.

How quickly can you take on a matter and start real action?

In urgent projects, we are able to take on a matter within one business day, depending on availability and the scale of the project. First, we focus on:

  • critical decisions,
  • risks that may have immediate consequences,
  • elements that require securing here and now.

How do you approach costs and is it possible to estimate the cooperation budget?

We determine costs in relation to the scope and purpose of the project, rather than abstract rates. At an early stage, we define:

  • the possible scope of work,
  • project stages,
  • an indicative budget or billing model.

For longer-term cooperation, we often use mixed models, such as project-based work combined with ongoing support, allowing clients to plan costs more effectively over time.

Do you only support large projects, or do you also provide ongoing legal support for companies?

We work both on individual project-related decisions and in an ongoing legal support model for entrepreneurs. In practice, this means:

  • ongoing legal support for companies,
  • consulting on management decisions,
  • preparing and negotiating agreements,
  • responding to changes in business and regulations.

Many clients start with one project and then expand their cooperation with us as their business grows.

Do you work on fintech and crypto projects in practice?

Yes – fintech and crypto are a real part of our practice, not merely an area of theoretical advisory. We support projects in areas including:

  • the legal structure of the venture,
  • selection of jurisdiction and business form,
  • regulatory approach and compliance,
  • preparing the project for discussions with investors,
  • coordinating projects carried out in several countries.

We analyse each project individually, in relation to its business model and development plans.

Do you handle litigation matters, or do you focus mainly on negotiations and protecting clients’ interests?

In business projects, we focus primarily on preventing disputes through the right decisions, structures, and agreements. Our support includes:

  • contract negotiations,
  • structuring protective mechanisms,
  • organising shareholder relations,
  • minimising risks that may lead to conflicts.

However, if a dispute is part of the project, we help the client choose the most rational course of action in the given situation.

Do you support international projects and foreign expansion?

Yes. We advise on projects carried out in Poland and in foreign jurisdictions. Cooperation includes, among other things:

  • designing international structures,
  • coordinating activities with local advisers,
  • adapting documents to different legal systems,
  • support in operational and regulatory decisions.

The goal is to create solutions that work in practice and deliver real results

In what situations do companies most often contact you?

Most often when they:

  • plan to set up a company
  • plan growth or expansion,
  • enter into a project with an investor or shareholder,
  • negotiate a contract of significant importance,
  • operate in a regulated industry, such as fintech or crypto,
  • need to organise their structure or ownership relations,
  • want to be sure that a legal decision will not block the business in the future.

What distinguishes your approach to working with entrepreneurs?

We focus on partnership-based legal advisory, where law is a tool for achieving a business objective, not an end in itself. Clients value us for:

  • clear recommendations,
  • understanding the realities of running a business,
  • focus on decisions and consequences,
  • long-term support as the company grows.
